Merger of JPM Institutional Continental Europe Fund with JPM Europe Fund on 1 February 2012

The following resolution was passed at an Extraordinary General Meeting of shareholders of the JPM Institutional Continental Europe Fund (the “Fund”) held on Friday 13 January 2012:
“That:
The scheme of arrangement (the “Scheme”) for the merger of the Fund with JPM Europe Fund, the terms of which are set out in a document dated 7 December 2011 and addressed by JPMorgan Funds Limited (the “ACD”) to Shareholders in the Fund, is hereby approved and that the ACD and the National Westminster Bank Plc, the depositary of the Company, are hereby instructed to implement the Scheme in accordance with its terms.”
